THE ACCEPTANCE OF THE TERMS AND CONDITIONS SET FORTH BELOW CONSTITUTE THE EXPRESSION OF ALL OF THE TERMS OF THIS AGREEMENT AND A COMPLETE AND EXCLUSIVE STATEMENT OF THE AGREEMENT BETWEEN BUYER AND THE MORTISE & THE HARE (“SELLER”).
1. PRICE & DELIVERY
All prices are F.O.B. Seller’s Workshop (New York), unless otherwise agreed to in writing.
 * Free Shipping: Applies only to standard Ground shipments within the contiguous lower 48 United States.
 * Exclusions: Buyer is responsible for all costs associated with “limited access,” “remote location,” or “island” shipping zones, or any additional accessorials (e.g., lift gates, stair carries) charged by the freight company that were not pre-approved by the Seller.
2. PAYMENT & SECURITY INTEREST
Payment must be made in full in U.S. funds at the time of purchase to initiate production. Until the Purchase Price is paid in full, Seller retains a security interest in the materials described on Buyer’s order form (the “Goods”).
3. THE "LEVEL FOR LIFE" WARRANTY (LIMITED LIFETIME)
Seller warrants that the Goods manufactured by it will be free from structural defects for the lifetime of the original owner.
 * Structural Warranty: Covers glue joint failure, bracket failure (defined as shelf sag >1 degree), and structural wood defects (splitting/cracking not caused by environmental neglect).
 * Finish Warranty: The finish (varnish, oil, or wax) is warranted for a period of 30 days after receipt.
 * Exclusions: This warranty does not cover normal wear and tear, seasonal wood movement (minor expansion/contraction), abuse, improper installation (mounting to drywall without studs), or exposure to extreme humidity/temperature changes.
 * Remedy: Buyer’s sole and exclusive remedy shall be for the replacement or repair of defective Goods. If repair is not possible, a store credit may be issued.
4. LIMITATION OF LIABILITY
SELLER’S LIABILITY SHALL BE LIMITED TO REPLACING OR REPAIRING THE GOODS FOUND TO BE DEFECTIVE OR, AT SELLER’S OPTION, CREDITING BUYER AN AMOUNT EQUAL TO THE PURCHASE PRICE. IN NO EVENT SHALL THE SELLER BE LIABLE FOR CONSEQUENTIAL DAMAGES, LOST PROFITS, OR INSTALLATION COSTS.
5. INSPECTION & ACCEPTANCE
Upon receipt of shipment, Buyer shall immediately inspect the Goods.
 * The 7-Day Rule: Buyer must provide Seller with written notice of any claim for shipping damage or defects within seven (7) days after receipt.
 * Failure to Notify: If notice is not received within 7 days, the Goods shall be deemed finally inspected, checked, and accepted by Buyer.
6. TITLE & RISK OF LOSS
Title to Goods and risk of loss passes to Buyer upon delivery by Seller to the common carrier. While Seller may assist in filing claims for shipping damage, the legal responsibility for the shipment transfers to the Buyer once it leaves our facility.
7. LEAD TIMES & FORCE MAJEURE
All shipping dates are estimates based on current production schedules. Seller will not be liable for delays caused by: (1) strikes, fires, disasters, or acts of God; (2) supply chain shortages of lumber or hardware; or (3) any other condition beyond Seller’s reasonable control.
8. CANCELLATION & TERMINATION
 * 24-Hour Window: Orders may be canceled for a full refund within 24 hours of placement.
 * After 24 Hours: Orders cannot be terminated, canceled, or modified without Seller’s written consent. If accepted, cancellations after 24 hours are subject to a 20% material and labor fee to indemnify Seller for work in progress.
9. RETURNS & EXCHANGES
 * Custom Goods: Returns are not accepted on custom-dimensioned shelving or furniture unless defective.
 * Standard Goods: Seller may accept returns on standard items in its sole discretion within 14 days.
 * Restocking Fee: If a return is accepted, Buyer shall pay a 15% restocking fee and is responsible for all return shipping costs.
 * Natural Variation: Wood is a natural material. Variations in grain pattern, mineral streaks, and color are not considered defects.
10. MANUFACTURING TOLERANCES
The Goods are hand-made to order. Buyer agrees to accept the following manufacturing tolerances:
 * Overall Dimensions: +/- 0.125” (1/8 inch).
 * Flatness: +/- 0.125” across the surface.
 * Squareness: +/- 0.5 degrees.
 * Hollow Core/Torsion Box: Seller reserves the right to utilize Torsion-Box engineering (hollow core) for shelves exceeding 2.25” thickness to ensure structural stability and weight management.
11. EXPEDITED PRODUCTION
Expedited fees cover production time only, not shipping speed. If Seller fails to ship within the expedited window, the expedited fee will be refunded on a prorated basis.
12. APPLICABLE LAW
This Agreement shall be governed by the laws of the State of New York. Any disputes shall be litigated exclusively in Federal or State Courts located in Suffolk County, New York.
